ALLGEMEINE GESCHÄFTSBEDINGUNGEN (AGB) VERANSTALTUNGEN
Allgemeine Geschäftsbedingungen der Scalefree International GmbH für Veranstaltungen. § 1 ALLGEMEINE BESTIMMUNGEN Die nachfolgenden Allgemeinen Geschäftsbedingungen der Scalefree International GmbH gelten für alle Leistungen im Rahmen von Veranstaltungen für Unternehmer, Verbraucher, juristische Personen des öffentlichen Rechts oder öffentlich rechtliche Sondervermögen (im Folgenden als „Kunde” bezeichnet). Der Einbeziehung von Allgemeinen Geschäftsbedingungen des Kunden wird vorbehaltlich der ausdrücklichen schriftlichen Zustimmung widersprochen. § 2 VERTRAGSSCHLUSS Ein Veranstaltungsvertrag kommt erst durch Bestätigung der Anmeldung in Textform zustande. Diese erfolgt binnen 14 Tagen nach Eingang der Anmeldung in Textform (per Post, Fax, E-Mail o.ä.) Die Teilnehmerzahl ist begrenzt. Die Anmeldungen werden in der Reihenfolge des Eingangs berücksichtigt. Es erfolgt ggf. eine elektronische Verarbeitung der Daten der Teilnehmer ausschließlich für interne Zwecke und nur soweit es für die Durchführung des Vertrages erforderlich ist. § 3 ART UND UMFANG DER LEISTUNG (1) Die Scalefree International GmbH bietet Veranstaltungen in den eigenen Räumlichkeiten sowie in mit externen Dienstleistern zu vereinbarenden Räumlichkeiten an. (2) Bei öffentlich durchgeführten Veranstaltungen ist eine Teilnehmerzahl von mindestens 30 Teilnehmern erforderlich. Die Teilnehmerzahl darf die Zahl der angemeldeten Teilnehmer grundsätzlich nicht überschreiten. Sollten sich nicht angemeldete Personen im Raum befinden, ist der jeweilige Veranstaltungsleiter berechtigt, diese Personen des Raumes zu verweisen und die Durchführung der Veranstaltung bis zum Verlassen des Raumes durch die entsprechenden Personen zu unterbrechen oder zu verzögern. Eine Person, welcher der Inhalt der Veranstaltung über Fernkommunikationsmittel (z.B. Skype) zugänglich gemacht wird, gilt hierbei als im Raum befindliche Person. Begleitend zur Veranstaltung können den Veranstaltungsteilnehmern Unterlagen ausgehändigt werden, soweit nichts anderes vereinbart ist. Die Unterlagen sind im Veranstaltungspreis enthalten. (3) Die Organisation der Anreise und eines ggf. notwendigen Hotelaufenthaltes o.ä. erfolgt auf eigene Verantwortung und Kosten des Kunden oder der Teilnehmer. Bei unverschuldetem Ausfall oder Absage der Veranstaltung sind Ersatzansprüche insoweit ausgeschlossen (siehe auch § 9 Haftung). § 4 DATENSCHUTZ (1) Die Verarbeitung personenbezogener Daten erfolgt in Einklang mit den geltenden datenschutzrechtlichen Bestimmungen (z.B. Datenschutzgrundverordnung (DSGVO)). (2) Wir möchten Sie auf unsere Datenschutzinformation hinweisen. Die Informationen zur Verarbeitung Ihrer personenbezogenen Daten finden Sie für kostenpflichtige Events unter https://www.scalefree.com/privacy-policy-for-paid-events/https://www.scalefree.com/privacy/ und für kostenfreie Events unter https://www.scalefree.com/privacy-policy-for-webinars-and-free-events/ § 5 WIDERRUFSBELEHRUNG (1) Verbraucher haben bei Abschluss eines Fernabsatzgeschäfts grundsätzlich ein gesetzliches Widerrufsrecht, über das die Scalefree International GmbH nach Maßgabe des gesetzlichen Musters nachfolgend informiert. In Absatz (2) findet sich ein Muster-Widerrufsformular. Widerrufsbelehrung Sie haben das Recht, binnen vierzehn Tagen ohne Angaben von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsabschlusses. Um Ihr Widerrufsrecht auszuüben, müssen Sie uns (Scalefree International GmbH, Schützenallee 3, 30519 Hannover, , +49 (511) 879 89341, [email protected]) mittels einer eindeutigen Erklärung (z.B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist. Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden. Folgen des Widerrufs Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstige Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet. Haben Sie verlangt, dass die Dienstleistung während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht. (2) Über das Muster-Widerrufsformular informiert der Anbieter nach der gesetzlichen Regelung wie folgt: Muster-Widerrufsformular (Wenn Sie den Vertrag widerrufen wollen, dann füllen Sie bitte dieses Formular aus und senden Sie es zurück.) — An Scalefree International GmbH, Schützenallee 3, 30519 Hannover, +49 (511) 879 89341, [email protected]: — Hiermit widerrufe(n) ich/wir (*) den von mir/uns (*) abgeschlossenen Vertrag über den Kauf der folgenden Waren (*)/ die Erbringung der folgenden Dienstleistung (*) — Bestellt am (*)/erhalten am (*) — Name des/der Verbraucher(s) — Anschrift des/der Verbraucher(s) — Unterschrift des/der Verbraucher(s) (nur bei Mitteilung auf Papier) — Datum (*) Unzutreffendes streichen (3) Das Widerrufsrecht erlischt vorzeitig, wenn die Scalefree International GmbH die Dienstleistung vollständig erbracht hat und mit der Ausführung der Dienstleistung erst begonnen hat, nachdem der Verbraucher dazu seine ausdrückliche Zustimmung gegeben hat und gleichzeitig seine Kenntnis davon bestätigt hat, dass er sein Widerrufsrecht bei vollständiger Vertragserfüllung durch die Scalefree International GmbH verliert. § 6 STORNIERUNG, ABSAGE Ist der Kunde kein Verbraucher oder ist die Widerrufsfrist gemäß § 4 abgelaufen, gelten die folgenden Bestimmungen (Absätze 1 und 2): (1) Der Kunde kann bis zu einer Kalenderwoche vor der Veranstaltung einen anderen Teilnehmer benennen. Hierzu ist eine entsprechende Mitteilung per E-Mail an [email protected], Fax an +49 (511) 879 89349 oder per Anruf unter +49 (511) 879 89341 erforderlich. (2) Stornierungen müssen bis spätestens zwei Kalenderwochen vor Beginn der Veranstaltung durch Mitteilung in Textform per E-Mail an [email protected], Fax an +49 (511) 879 89349 oder per Brief an die Scalefree International GmbH, Schützenallee 3, 30519 Hannover, erfolgen. Sofern diese Frist bereits verstrichen ist, ist die Scalefree International GmbH berechtigt eine Stornogebühr von 30% einzufordern. Dem Kunden ist der Nachweis gestattet, dass durch die Stornierung kein oder ein geringerer Schaden entstanden ist. (3) Die Scalefree International GmbH ist berechtigt, Veranstaltungen aus begründetem Anlass (z.B. unverschuldeter Ausfall der/des Referenten, behördliche Anordnung, Gesundheitsschutz, höhere Gewalt) abzusagen (Rücktritt) oder räumlich zu verlegen, alternativ als Webinar durchzuführen und/ oder einen anderen Termin ersatzweise zu benennen. Ein wichtiger Grund liegt vor, wenn
(4) Die Scalefree International GmbH wird dem Kunden Absagen oder Änderungen unverzüglich mitteilen. Im Falle einer Absage werden bereits gezahlte Teilnehmergebühren im Rahmen der gesetzlichen Bestimmung des § 346 BGB unverzüglich erstattet. Die vertragliche Zahlungsverpflichtung entfällt. Für Schadensersatzansprüche des Kunden/Teilnehmers gilt § 9 (Haftung). (5) Ein Anspruch des Kunden auf Nachholung zu einem späteren Zeitpunkt besteht nicht. (6) Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt. § 7 GEISTIGES EIGENTUM Ohne die schriftliche Einwilligung der Scalefree International GmbH dürfen keine Teile aus Vorträgen, Dokumenten oder sonstigen Medien, die der Kunde bzw. der Teilnehmer im Rahmen der Veranstaltungsteilnahme erhält, reproduziert, verarbeitet, vervielfältigt, verbreitet oder zur öffentlichen Wiedergabe verwendet werden. Soweit Dokumente oder sonstige Medien genutzt werden, an denen Rechte Dritter bestehen, verbleiben diese Rechte beim jeweiligen Urheber bzw. Rechtsinhaber. Der Kunde bzw. der Teilnehmer erhält das nicht ausschließliche und nicht übertragbare Recht, die Dokumente so zu nutzen, wie es im Rahmen der Veranstaltung vorgesehen und zweckdienlich ist. Abweichungen von diesen Nutzungsregelungen bedürfen der ausdrücklichen schriftlichen Vereinbarung. § 8 VERGÜTUNG UND ZAHLUNGSBEDINGUNGEN Sämtliche Preise sind Nettopreise, zuzüglich der gesetzlichen deutschen Mehrwertsteuer. Die Veranstaltungsgebühr ist im Voraus nach Erhalt der Rechnung sofort ohne Abzug fällig und in Euro zahlbar, sofern keine andere Vereinbarung getroffen wurde. § 9 HAFTUNG (1) Bei Ausfall oder Absage einer Veranstaltung ohne Verschulden der Scalefree International GmbH, insbesondere durch Krankheit der Referenten besteht kein Anspruch auf die Durchführung der Veranstaltung. Die Scalefree International GmbH haftet insoweit nur für eine unverzügliche Information an den Kunden und die Teilnehmer auf einem der mitgeteilten Kommunikationswege. (2) Ansprüche des Kunden auf Schadensersatz sind ausgeschlossen. Hiervon ausgenommen sind Schadensersatzansprüche des Kunden aus der Verletzung des Lebens, des Körpers, der Gesundheit oder aus der Verletzung wesentlicher Vertragspflichten (Kardinalpflichten) sowie die Haftung für Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung der Scalefree International GmbH, ihrer gesetzlichen Vertreter oder Erfüllungsgehilfen beruhen. Wesentliche Vertragspflichten sind solche, deren Erfüllung zur Erreichung des Ziels des Vertrags notwendig ist, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Vertragspartner regelmäßig vertrauen darf. (3) Bei der Verletzung wesentlicher Vertragspflichten haftet die Scalefree International GmbH nur auf den vertragstypischen, bei Vertragsschluss vorhersehbaren Schaden, wenn dieser einfach fahrlässig verursacht wurde, es sei denn, es handelt sich um Schadensersatzansprüche des Kunden aus einer Verletzung des Lebens, des Körpers oder der Gesundheit. (4) Die Einschränkungen der Absätze 1, 2 und 3 gelten auch zugunsten der gesetzlichen Vertreter und Erfüllungsgehilfen der Scalefree International GmbH, wenn Ansprüche direkt gegen diese geltend gemacht werden. (5) Die Vorschriften des Produkthaftungsgesetzes bleiben unberührt. Der Einwand des Mitverschuldens bleibt vorbehalten. § 10 TEILUNWIRKSAMKEIT, SCHRIFTFORM (1) Für den Fall, dass einzelne Bestimmungen des Veranstaltungsvertrags einschließlich dieser Allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam oder undurchführbar sind oder werden, oder für den Fall, dass der Veranstaltungsvertrag unbeabsichtigte Lücken enthält, wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Die Parteien verpflichten sich, anstelle der unwirksamen, undurchführbaren oder fehlenden Bestimmung eine solche wirksame und durchführbare Bestimmung zu vereinbaren, die unter Berücksichtigung des wirtschaftlichen Zwecks des Vertrages der unwirksamen, undurchführbaren oder fehlenden Bestimmung am nächsten kommt. Die Parteien sind verpflichtet, eine solche Bestimmung in gebotener Form, jedoch zumindest schriftlich, zu bestätigen. (2) Änderungen und Ergänzungen dieses Vertrages bedürfen der Schriftform; dies gilt auch für eine Änderung des Schriftformerfordernisses selbst. § 11 ANWENDBARES RECHT (1) Für sämtliche Rechtsbeziehungen der Parteien unter Einbeziehung dieser Bedingungen gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Diese Rechtswahl gilt auch für Verbraucherverträge, sofern die Bestimmungen der ROM-I-Verordnung nicht entgegenstehen. Die deutsche Fassung dieser Bedingungen gilt als rechtsverbindliche Fassung. Etwaige Übersetzungen in eine andere Sprache sind nicht rechtsverbindlich. (2) Ist der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag Hannover. Dasselbe gilt, wenn der Kunde keinen allgemeinen Gerichtsstand in Deutschland hat oder Wohnsitz oder gewöhnlicher Aufenthalt im Zeitpunkt der Klageerhebung nicht bekannt sind. Die Befugnis, auch das Gericht an einem anderen gesetzlichen Gerichtsstand anzurufen bleibt hiervon unberührt. |

General terms and conditions of Scalefree International GmbH for events. § 1 GENERAL PROVISIONS The following general terms and conditions of Scalefree International GmbH apply to all services in the framework of events for business owners, consumers, legal persons under public law or special estates under public law (referred to in the following as “customers”). The inclusion of the customer’s general terms and conditions is rejected reserving any expressed written consent. § 2 CONCLUSION OF CONTRACT An event contract first comes into existence when registration is confirmed in writing. This will be done within 14 days after receipt of the registration in text form (by mail, fax, e-mail i.a.). The number of participants is limited. Registrations will be honored in the order in which they are received. If needed the participants’ data will be processed electronically; any such processing is for internal purposes only and only to the extent necessary to execute the contract. § 3 TYPE AND SCOPE OF SERVICE (1) Scalefree International GmbH offers events in our own facilities as well as in facilities to be agreed on with external service providers. (2) In the case of events open to the public, a minimum of 30 participants are required. The number of participants as a rule may not exceed the number of registered participants. If persons who are not registered are in the room, the event organisator is authorized in each case to eject these persons from the room and to interrupt or delay the completion of the event until the persons in question leave the room. A person who is provided access to the content of the event by means of remote communication (e.g. Skype), is deemed in this case to be present in the room. During the event, documents and materials can be distributed to the participants to the extent that nothing else is agreed to. The materials are included in the cost of the event. (3) The organization of travel to the event site and any necessary hotel stays is entirely the responsibility of and at cost to the customer or the participant. In the case of a no-fault no-show or withdrawal of the event, claims to reimbursement are excluded (see also § 9 Liability). § 4 DATA PRIVACY (1) The processing of personal data is carried out in accordance with the applicable data protection regulations (e.g. General Data Protection Regulation (DSGVO)). (2) We would like to draw your attention to our data protection information. You can find the information about the processing of your personal data for paid events under https://www.scalefree.com/privacy-policy-for-paid-events/https://www.scalefree.com/privacy/ and for free events under https://www.scalefree.com/privacy-policy-for-webinars-and-free-events/ § 5 NOTICE OF RIGHT TO WITHDRAW (1) When concluding a distance selling transaction, consumers have a legal right of withdrawal concerning which Scalefree International GmbH provides the legally required information below. The sample withdrawal form is found in Paragraph (2). Notice of Right to Withdraw Right to withdraw You have the right to withdraw from this contract within fourteen days without stating any grounds. The notice period for withdrawal is fourteen days from the date on which the contract is concluded. In order to exercise your right to withdraw , you must inform us (Scalefree International GmbH, Schützenallee 3, 30519 Hannover, , +49 (511) 879 89341, [email protected]) by means of a clear statement (e.g. a letter sent by mail, a fax or an e-mail) of your decision to withdraw from this contract. You may use the sample withdrawal form, but this is not required. To observe the withdrawal notice period, it suffices that you send the communication of your intent to exercise the right of withdrawal before the withdrawal period expires. Consequences of withdrawal If you withdraw from this contract, we must repay you all of the payments that we have received from you including the delivery costs (with the exception of added costs that result from your selecting a different form of delivery than the one we offered as inexpensive standard delivery), without delay and at the latest within fourteen days of the date on which we receive the communication concerning your withdrawal from this contract. We will use the same mode of payment for this repayment that you used in the original transaction unless something different was expressly arranged with you; under no circumstances will you be credited for any compensation with this repayment. If you requested that the service begin during the withdrawal notice period, you must pay us a reasonable sum that corresponds to the share of the services we already completed through the date on which you notified us of your decision to exercise your right to withdraw with respect to this contract as a percentage of the total services provided for in the contract. (2) The provider complies with provisions of law by providing you with the following sample withdrawal form: Sample withdrawal form (If you want to withdraw from the contract, fill this form out and send it back.) —To Scalefree International GmbH, Schützenallee 3, 30519 Hannover, +49 (511) 879 89341, [email protected]: — I/we (*) hereby withdraw from the contract concluded with me/us(*) For the purchase of the following goods (*)/ the performance of the following service (*) — ordered on (*)/received on (*) — Name of the consumer(s) — Address of the consumer(s) — signature of the consumer(s) (only for paper notifications) — Date (*) mark through the inapplicable option (3) The right of withdrawal is voided before term if Scalefree International GmbH has completed the service entirely and only began to execute the service after the consumer had given his/their expressed consent and at the same time confirm that he/they/were aware that the right of withdrawal is voided once the contract has been completely fulfilled by Scalefree International GmbH. § 6 CANCELLATION If the customer is not a consumer or if the withdrawal notice period according to § 4 is expired, the following provisions apply (Paragraphs 1 and 2): (1) The customer can name another participant up to one calendar week before the event. To do this, it is necessary to send a communication to this effect via e-mail to [email protected], fax to +49 (511) 879 89349 or telephone +49 (511) 879 89341. (2) Cancellations must be communicated at the latest two calendar weeks before the start of the event by means of a communication in text form by e-mail to [email protected], fax to +49 (511) 879 89349 or by letter to Scalefree International GmbH, Schützenallee 3, 30519 Hannover. If this period has already expired, Scalefree International GmbH is entitled to claim a cancellation fee of 30%. The customer is permitted to demonstrate that the cancellation caused lesser or no loss. (3) Scalefree International GmbH is entitled to cancel (withdraw from) event for a justified reason (e.g. no-fault absence of the presenters, government order, health protection or force majeure) or to relocate them, alternatively hold a webinar and/or name a different date as a substitute. An important reason exists if
(4) Scalefree International GmbH will notify the customer of any cancellation changes immediately. In the event that it is canceled, any event fees already paid will be immediately reimbursed in accordance with applicable provisions of law under § 346 BGB. The contractual payment obligation is void. § 9 (Liability) applies to any claims to compensation for damages from the customer/participant. (5) There is no entitlement of the customer to replacement at a later point in time. (6) The right to extraordinary cancellation for due and sufficient cause remains in effect. § 7 INTELLECTUAL PROPERTY Absent the written consent of Scalefree International GmbH, no parts of presentations, documents or other media that are received by the customer or participant in the framework of participation in the event may be reproduced, edited, disseminated, distributed or used for public presentation. To the extent that documents or other media are used to which third parties have rights, these rights are held by the respective originator or rights holder. The customer and/or the participant receives the non-exclusive and non-transferrable right to use the documents as provided for in the framework of the event and to that purpose only. Deviations from these terms of use require an expressed written agreement. § 8 COMPENSATION AND TERMS OF PAYMENT All prices are net prices plus the legally mandated German VAT. The training fee is due and payable in advance on receipt of the billing statement, immediately and without discounts, in Euro, to the extent that no other agreement is made. § 9 LIABILITY (1) In the event that an event is either canceled or called off for reasons for which Scalefree International GmbH cannot be responsible, especially due to the speakers becoming ill, there is no claim to carrying out the event. Scalefree International GmbH is liable in this case only to immediately inform the customer and participants using one of the means of communication mentioned. (2) Claims by the customer to compensate for damages are excluded. This excludes claims to compensation for damages brought by the customer for injury to life, limb or health or breach of essential contractual obligations (cardinal obligations) as well as liability for damages arising from intentional or grossly negligent breach of contract by Scalefree International GmbH, its legal representatives or temporary employees. Essential contractual obligations are those whose fulfillment is absolutely necessary to attain the objective of the contract, whose fulfillment is a fundamental precondition to the proper completion of the contract and on whose fulfillment the contract partner may regularly rely. (3) On breach of essential contractual obligations, Scalefree International GmbH is liable only for the types of damages typical to contracts of this kind and foreseeable at the time the contract was concluded, if they are the result of simple negligence, unless the customer’s claim to compensation for damages derives from injury to life, limb or health. (4) The limitations of Paragraphs 1, 2 and 3 apply in favor of the legal representatives and temporary employees of Scalefree International GmbH, if claims are asserted against them directly. (5) The provisions of the Product Liability Act remain in effect. The objection of joint culpability is reserved. § 10 SEVERABILITY CLAUSE, REQUIREMENT OF WRITTEN FORM (1) In the event that individual provisions of the training contract including these General Terms and Conditions prove or become partly or wholly unenforceable or unfeasible, or in the event that the training contract contains unintended loopholes, this will not compromise the enforceability of the remaining provisions. The parties commit to agree on an enforceable and feasible provision in place of the unenforceable, unfeasible or missing provision that will most closely approximate the unenforceable, unfeasible or missing provision with all due consideration for the commercial purpose of the contract. The parties are obligated to confirm such a provision in the required form, at least in writing. (2) Changes and amendments to this contract must be made in writing; this applies to any change to the requirement of written form as well. § 11 APPLICABLE LAW (1) For all legal relationships between the parties, including these terms and conditions, the law of the Federal Republic of Germany applies excluding the laws concerning the international purchase of moveable goods. This choice of laws applies for consumer contracts, to the extent that the provisions of the ROM-I-Ordinance do not contradict it. The German version of these terms and conditions is the legally binding version. Any translations into other languages are not legally binding. (2) If the customer is a merchant, legal person under public law or special estate under public law, the sole court of jurisdiction for all legal disputes arising from this contract is Hannover. The same applies if the customer does not have a general court of jurisdiction in Germany or if residence or habitual domicile are not known at the time the complaint is brought. ALLGEMEINE GESCHÄFTSBEDINGUNGEN (AGB) SCHULUNGEN
Allgemeine Geschäftsbedingungen der Scalefree International GmbH für Schulungen. § 1 ALLGEMEINE BESTIMMUNGEN Die nachfolgenden Allgemeinen Geschäftsbedingungen der Scalefree International GmbH gelten für alle Leistungen im Rahmen von Schulungen (inhouse und öffentlich) für Unternehmer, Verbraucher, juristische Personen des öffentlichen Rechts oder öffentlich rechtliche Sondervermögen (im Folgenden als „Kunde” bezeichnet). Der Einbeziehung von Allgemeinen Geschäftsbedingungen des Kunden wird vorbehaltlich der ausdrücklichen schriftlichen Zustimmung widersprochen. § 2 VERTRAGSSCHLUSS Ein Schulungsvertrag kommt erst durch Bestätigung der Anmeldung in Textform zustande. Diese erfolgt binnen 14 Tagen nach Eingang der Anmeldung in Textform (per Post, Fax, E-Mail o.ä.) Die Teilnehmerzahl ist begrenzt. Die Anmeldungen werden in der Reihenfolge des Eingangs berücksichtigt. Es erfolgt ggf. eine elektronische Verarbeitung der Daten der Teilnehmer ausschließlich für interne Zwecke und nur soweit es für die Durchführung des Vertrages erforderlich ist. § 3 ART UND UMFANG DER LEISTUNG (1) Die Scalefree International GmbH bietet Schulungen, insbesondere Data-Vault-Schulungen und andere IT-Schulungen (sowohl inhouse als auch öffentlich) in den eigenen Räumlichkeiten sowie in mit dem Kunden zu vereinbarenden Räumlichkeiten an. (2) Soweit nichts anderes vereinbart wird, finden die Schulungen jeweils von 09:00 Uhr bis 18:00 Uhr statt. Bei öffentlich durchgeführten Schulungen ist eine Teilnehmerzahl von mindestens 8 Teilnehmern erforderlich. Die Teilnehmerzahl darf die Zahl der angemeldeten Teilnehmer grundsätzlich nicht überschreiten. Sollten sich nicht angemeldete Personen im Raum befinden, ist der jeweilige Schulungsleiter berechtigt, diese Personen des Raumes zu verweisen und die Durchführung der Schulung bis zum Verlassen des Raumes durch die entsprechenden Personen zu unterbrechen oder zu verzögern. Eine Person, welcher der Inhalt der Schulung über Fernkommunikationsmittel (zB Skype) zugänglich gemacht wird, gilt hierbei als im Raum befindliche Person. Begleitend zur Schulung werden den Schulungsteilnehmern Schulungsunterlagen ausgehändigt, soweit nichts anderes vereinbart ist. Die Schulungsunterlagen sind im Schulungspreis enthalten. Die Schulungsteilnehmer erhalten eine für jeden Teilnehmer persönlich ausgestellte Teilnahmebescheinigung. (3) Bei Schulungen, die in mit dem Kunden vereinbarten Räumlichkeiten stattfinden, trägt der Kunde dafür Sorge, dass die erforderliche Infrastruktur vorhanden ist, (insbesondere Projektor/Beamer, Whiteboard, Flipchart, jeweils passende Stifte). (4) Die Organisation der Anreise und eines ggf. notwendigen Hotelaufenthaltes o.ä. erfolgt auf eigene Verantwortung und Kosten des Kunden oder der Teilnehmer. Bei unverschuldetem Ausfall oder Absage der Schulung sind Ersatzansprüche insoweit ausgeschlossen (siehe auch § 9 Haftung). § 4 DATENSCHUTZ (1) Die Verarbeitung personenbezogener Daten erfolgt in Einklang mit den geltenden datenschutzrechtlichen Bestimmungen (z.B. Datenschutzgrundverordnung (DSGVO)). (2) Wir möchten Sie auf unsere Datenschutzinformation hinweisen. Die Informationen zur Verarbeitung Ihrer personenbezogenen Daten finden Sie unter https://www.scalefree.com/privacy-policy-for-trainings/ §5 DATENWEITERGABE (1) Mit der Anmeldung zu einem Data Vault 2.0 Boot Camp oder einer Introduction to Data Vault 2.0 werden Vor- und Nachname, sowie die Email Adresse des Kunden durch die Scalefree International GmbH an die Data Vault Alliance (im folgenden DVA genannt) übermittelt inklusive Accounterstellung zum Zwecke der Bereitstellung von Vorbereitungsvideos für das geplante Training. Der Kunde erhält infolgedessen per Email eine Einladung zur Plattform und wird angehalten diese Videos zu schauen und sich somit auf das Training vorzubereiten. Weitere Informationen finden sie in unseren Datenschutzrichtlinien. § 6 WIDERRUFSBELEHRUNG (1) Verbraucher haben bei Abschluss eines Fernabsatzgeschäfts grundsätzlich ein gesetzliches Widerrufsrecht, über das die Scalefree International GmbH nach Maßgabe des gesetzlichen Musters nachfolgend informiert. In Absatz (2) findet sich ein Muster-Widerrufsformular. Widerrufsbelehrung Sie haben das Recht, binnen vierzehn Tagen ohne Angaben von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsabschlusses. Um Ihr Widerrufsrecht auszuüben, müssen Sie uns (Scalefree International GmbH, Schützenallee 3, 30519 Hannover, +49 (511) 879 89341, [email protected]) mittels einer eindeutigen Erklärung (z.B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist. Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden. Folgen des Widerrufs Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstige Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrages bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet. Haben Sie verlangt, dass die Dienstleistung während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht. (2) Über das Muster-Widerrufsformular informiert der Anbieter nach der gesetzlichen Regelung wie folgt: Muster-Widerrufsformular (Wenn Sie den Vertrag widerrufen wollen, dann füllen Sie bitte dieses Formular aus und senden Sie es zurück.) — An Scalefree International GmbH, Schützenallee 3, 30519 Hannover, +49 (511) 879 89341, [email protected]: — Hiermit widerrufe(n) ich/wir (*) den von mir/uns (*) abgeschlossenen Vertrag über den Kauf der folgenden Waren (*)/ die Erbringung der folgenden Dienstleistung (*) — Bestellt am (*)/erhalten am (*) — Name des/der Verbraucher(s) — Anschrift des/der Verbraucher(s) — Unterschrift des/der Verbraucher(s) (nur bei Mitteilung auf Papier) — Datum (*) Unzutreffendes streichen (3) Das Widerrufsrecht erlischt vorzeitig, wenn die Scalefree International GmbH die Dienstleistung vollständig erbracht hat und mit der Ausführung der Dienstleistung erst begonnen hat, nachdem der Verbraucher dazu seine ausdrückliche Zustimmung gegeben hat und gleichzeitig seine Kenntnis davon bestätigt hat, dass er sein Widerrufsrecht bei vollständiger Vertragserfüllung durch die Scalefree International GmbH verliert. § 7 STORNIERUNG, ABSAGE Ist der Kunde kein Verbraucher oder ist die Widerrufsfrist gemäß § 5 abgelaufen, gelten die folgenden Bestimmungen: (1) Dem Kunde, der seine Anmeldung 21 oder mehr Werktage vor Beginn des geplanten Schulungskurses storniert und nicht auf die Einführungsvideos auf der DVA zugegriffen hat, wird die Verschiebung in ein späteres Training oder eine vollständige Rückerstattung der Kursgebühr abzüglich der Bearbeitungsgebühren angeboten. (2) Kunden, die ihre Anmeldung mehr als 14, aber weniger als 21 Tage vor Kursbeginn stornieren und nicht auf die Einführungsvideos auf der DVA zugegriffen haben, wird eine Rückerstattung von 50 % der Kursgebühr abzüglich der Bearbeitungsgebühren angeboten. (3) Keine Rückerstattung ist möglich für Kunden, die (a) ihre Anmeldung innerhalb von 14 Tagen vor Beginn des Kurses stornieren oder (b) bereits auf die Einführungsvideos auf der DVA zugegriffen haben oder (c) sich die Kursmaterialien, für die die Scalefree International GmbH einen Lieferschein besitzt, zusenden lassen oder (d) nicht am Kurs teilnehmen. (4) Der Kunde kann bis zum ersten Tag der Schulung einen anderen Schulungsteilnehmer benennen. Hierzu ist eine entsprechende Mitteilung per E-Mail an [email protected], Fax an +49 (511) 879 89349 oder per Anruf unter +49 (511) 879 89341 erforderlich. (5) Dem Kunden ist der Nachweis gestattet, dass durch die Stornierung kein oder ein geringerer Schaden entstanden ist. (6) Die Scalefree International GmbH ist berechtigt, Schulungen aus begründetem Anlass (z.B. unverschuldeter Ausfall des Schulungsleiters/Referenten insbesondere dessen Erkrankung oder zu geringe Teilnehmerzahl (weniger als 8 Teilnehmer bei öffentlichen Schulungen), höhere Gewalt) abzusagen (Rücktritt) oder räumlich zu verlegen und / oder einen anderen Termin ersatzweise zu benennen. Die Scalefree International GmbH wird dem Kunden Absagen oder Änderungen unverzüglich mitteilen. Im Falle einer Absage werden bereits gezahlte Schulungsgebühren im Rahmen der gesetzlichen Bestimmung des § 346 BGB unverzüglich erstattet. Die vertragliche Zahlungsverpflichtung entfällt. Für Schadensersatzansprüche des Kunden/Teilnehmers gilt § 9 (Haftung). (7) Für den Fall, dass bei einer inhouse durchgeführten Schulung die Teilnehmerzahl die Zahl der angemeldeten Teilnehmer überschreitet, der jeweilige Schulungsleiter vom Recht gemäß § 3 Abs. 2 dieser AGB Gebrauch macht und die Unterbrechung oder Verzögerung dazu führt, dass die Schulung voraussichtlich nicht mehr in der vorgesehenen Zeit angemessen durchgeführt werden kann, sind die Scalefree International GmbH sowie der jeweilige Schulungsleiter berechtigt, die Durchführung der Schulung abzubrechen und das Vertragsverhältnis fristlos zu kündigen. Ein Anspruch des Kunden auf Nachholung zu einem späteren Zeitpunkt besteht nicht. Im Falle eines solchen Abbruchs ist die Scalefree International GmbH berechtigt, eine angemessene Vergütung für die Vorbereitung der Schulung und etwaige bereits durchgeführte Schulungsteile zu verlangen. (8) Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt. § 8 GEISTIGES EIGENTUM Ohne die schriftliche Einwilligung der Scalefree International GmbH dürfen keine Teile von Dokumenten oder sonstigen Medien, die der Kunde bzw. der Teilnehmer im Rahmen der Schulungsteilnahme erhält, reproduziert, verarbeitet, vervielfältigt, verbreitet oder zur öffentlichen Wiedergabe verwendet werden. Soweit Dokumente oder sonstige Medien genutzt werden, an denen Rechte Dritter bestehen, verbleiben diese Rechte beim jeweiligen Urheber bzw. Rechtsinhaber. Der Kunde bzw. der Teilnehmer erhält das das nicht ausschließliche und nicht übertragbare Recht, die Dokumente so zu nutzen, wie es im Rahmen der Schulung vorgesehen und zweckdienlich ist. Abweichungen von diesen Nutzungsregelungen bedürfen der ausdrücklichen schriftlichen Vereinbarung. § 9 VERGÜTUNG UND ZAHLUNGSBEDINGUNGEN Sämtliche Preise sind Nettopreise, zuzüglich der gesetzlichen deutschen Mehrwertsteuer. Die Schulungsgebühr ist im Voraus nach Erhalt der Rechnung sofort ohne Abzug fällig und in Euro zahlbar, sofern keine andere Vereinbarung getroffen wurde. Die Abrechnung erfolgt bei inhouse durchgeführten Schulungen nach der Zahl der angemeldeten Teilnehmer bzw. nach Vereinbarung. Bleibt die Zahl der Teilnehmer hinter der Zahl der angemeldeten Teilnehmer zurück erfolgt keine Reduzierung bzw. Erstattung der Schulungsgebühr. Übersteigt die Zahl der Teilnehmer die Zahl der angemeldeten Teilnehmer gelten § 3 (2) und § 6 (4) dieser AGB, sofern über eine Erhöhung der Schulungsgebühr keine Einigung erzielt werden kann. § 10 HAFTUNG (1) Bei Ausfall oder Absage einer Schulung ohne Verschulden der Scalefree International GmbH, insbesondere durch Krankheit des Schulungsleiters besteht kein Anspruch auf die Durchführung der Schulung. Die Scalefree International GmbH haftet insoweit nur für eine unverzügliche Information an den Kunden und die Teilnehmer auf einem der mitgeteilten Kommunikationswege. (2) Ansprüche des Kunden auf Schadensersatz sind ausgeschlossen. Hiervon ausgenommen sind Schadensersatzansprüche des Kunden aus der Verletzung des Lebens, des Körpers, der Gesundheit oder aus der Verletzung wesentlicher Vertragspflichten (Kardinalpflichten) sowie die Haftung für Schäden, die auf einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung der Scalefree International GmbH, ihrer gesetzlichen Vertreter oder Erfüllungsgehilfen beruhen. Wesentliche Vertragspflichten sind solche, deren Erfüllung zur Erreichung des Ziels des Vertrags notwendig ist, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Vertragspartner regelmäßig vertrauen darf. (3) Bei der Verletzung wesentlicher Vertragspflichten haftet die Scalefree International GmbH nur auf den vertragstypischen, bei Vertragsschluss vorhersehbaren Schaden, wenn dieser einfach fahrlässig verursacht wurde, es sei denn, es handelt sich um Schadensersatzansprüche des Kunden aus einer Verletzung des Lebens, des Körpers oder der Gesundheit. (4) Die Einschränkungen der Absätze 1, 2 und 3 gelten auch zugunsten der gesetzlichen Vertreter und Erfüllungsgehilfen der Scalefree International GmbH, wenn Ansprüche direkt gegen diese geltend gemacht werden. (5) Die Vorschriften des Produkthaftungsgesetzes bleiben unberührt. Der Einwand des Mitverschuldens bleibt vorbehalten. § 11 TEILUNWIRKSAMKEIT, SCHRIFTFORM (1) Für den Fall, dass einzelne Bestimmungen des Schulungsvertrages einschließlich dieser Allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam oder undurchführbar sind oder werden, oder für den Fall, dass der Schulungsvertrag unbeabsichtigte Lücken enthält, wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Die Parteien verpflichten sich, anstelle der unwirksamen, undurchführbaren oder fehlenden Bestimmung eine solche wirksame und durchführbare Bestimmung zu vereinbaren, die unter Berücksichtigung des wirtschaftlichen Zwecks des Vertrages der unwirksamen, undurchführbaren oder fehlenden Bestimmung am nächsten kommt. Die Parteien sind verpflichtet, eine solche Bestimmung in gebotener Form, jedoch zumindest schriftlich, zu bestätigen. (2) Änderungen und Ergänzungen dieses Vertrages bedürfen der Schriftform; dies gilt auch für eine Änderung des Schriftformerfordernisses selbst. § 12 ANWENDBARES RECHT (1) Für sämtliche Rechtsbeziehungen der Parteien unter Einbeziehung dieser Bedingungen gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Diese Rechtswahl gilt auch für Verbraucherverträge, sofern die Bestimmungen der ROM-I-Verordnung nicht entgegenstehen. Die deutsche Fassung dieser Bedingungen gilt als rechtsverbindliche Fassung. Etwaige Übersetzungen in eine andere Sprache sind nicht rechtsverbindlich. (2) Ist der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag Hannover. Dasselbe gilt, wenn der Kunde keinen allgemeinen Gerichtsstand in Deutschland hat oder Wohnsitz oder gewöhnlicher Aufenthalt im Zeitpunkt der Klageerhebung nicht bekannt sind. Die Befugnis, auch das Gericht an einem anderen gesetzlichen Gerichtsstand anzurufen bleibt hiervon unberührt. |
GENERAL TERMS AND CONDITIONS (GTC) TRAINING
General terms and conditions of Scalefree International GmbH for training courses. § 1 GENERAL PROVISIONS The following general terms and conditions of Scalefree International GmbH apply to all services in the framework of training courses (in-house and public) for business owners, consumers, legal persons under public law or special estates under public law (referred to in the following as “customers”). The inclusion of the customer’s general terms and conditions is rejected reserving any expressed written consent. § 2 CONCLUSION OF CONTRACT A training contract first comes into existence when registration is confirmed in writing. This will be done within 14 days after receipt of the registration in text form (by mail, fax, e-mail i.a.). The number of participants is limited. Registrations will be honored in the order in which they are received. If needed the participants’ data will be processed electronically; any such processing is for internal purposes only and only to the extent necessary to execute the contract. § 3 TYPE AND SCOPE OF SERVICE (1) Scalefree International GmbH offers training courses, especially data-vault-training courses and other IT-training courses (both in-house as well as public) in our own facilities as well as in facilities to be agreed on with the customer. (2) To the extent that nothing else is agreed on, the training courses will always take place from 9 a.m. to 6 p.m. o’clock. In the case training courses open to the public, a minimum of 8 participants are required. The number of participants as a rule may not exceed the number of registered participants. If persons who are not registered are in the room, the lead trainer is authorized in each case to eject these persons from the room and to interrupt or delay the completion of the training until the persons in question leave the room. A person who is provided access to the content of the training course by means of remote communication (e.g. Skype), is deemed in this case to be present in the room. In the course of the training, training documents and hand-outs will be distributed to the course participants to the extent that nothing else is agreed to. The training documents and hand-outs are included in the cost of the training course. The participants in the training course will receive a personalized certificate of participation. (3) For training courses that are held in facilities arranged and agreed on with the customer, the customer will make sure that the required infrastructure is on-hand (specifically overhead/LCD projector, whiteboard, flipchart, in each case matching pens). (4) The organization of travel to the course site and any necessary hotel stays is entire the responsibility of and at cost to the customer or the participant. In the case of a no-fault no-show or withdrawal of the training course, claims to reimbursement are excluded (see also § 9 Liability). § 4 DATA PRIVACY (1) The processing of personal data is carried out in accordance with the applicable data protection regulations (e.g. General Data Protection Regulation (GDPR)). (2) We would like to draw your attention to our data protection information. You can find the information about the processing of your personal data under https://www.scalefree.com/privacy-policy-for-trainings/ § 5 DATA DISCLOSURE (1) With the registration for a Data Vault 2.0 Boot Camp or an Introduction to Data Vault 2.0, first and last name, as well as the email address of the customer are transmitted by Scalefree International GmbH to the Data Vault Alliance (hereinafter referred to as DVA) including account creation for the purpose of providing preparation videos for the planned training. As a result, the customer receives an invitation to the platform via email and is encouraged to watch these videos to prepare for the training. For more information, please check our privacy policy. § 6 NOTICE OF RIGHT TO WITHDRAW (1) When concluding a distance selling transaction, consumers have a legal right of withdrawal concerning which Scalefree International GmbH provides the legally required information below. The sample withdrawal form is found in Paragraph (2). Notice of Right to Withdraw Right to withdraw You have the right to withdraw from this contract within fourteen days without stating any grounds. The notice period for withdrawal is fourteen days from the date on which the contract is concluded. In order to exercise your right to withdraw, you must inform us (Scalefree International GmbH, Schützenallee 3, 30519 Hannover, +49 (511) 879 89341, [email protected]) by means of a clear statement (e.g. a letter sent by mail, a fax or an e-mail) of your decision to withdraw from this contract. You may use the sample withdrawal form, but this is not required. To observe the withdrawal notice period, it suffices that you send the communication of your intent to exercise the right of withdrawal before the withdrawal period expires. Consequences of withdrawal If you withdraw from this contract, we must repay you all of the payments that we have received from you including the delivery costs (with the exception of added costs that result from your selecting a different form of delivery than the one we offered as inexpensive standard delivery), without delay and at the latest within fourteen days of the date on which we receive the communication concerning your withdrawal from this contract. We will use the same mode of payment for this repayment that you used in the original transaction unless something different was expressly arranged with you; under no circumstances will you be credited for any compensation with this repayment. If you requested that the service begin during the withdrawal notice period, you must pay us a reasonable sum that corresponds to the share of the services we already completed through the date on which you notified us of your decision to exercise your right to withdraw with respect to this contract as a percentage of the total services provided for in the contract. (2) The provider complies with provisions of law by providing you with the following sample withdrawal form: Sample withdrawal form (If you want to withdraw from the contract, fill this form out and send it back.) —To Scalefree International GmbH, Schützenallee 3, 30519 Hannover, +49 (511) 879 89341, [email protected]: — I/we (*) hereby withdraw from the contract concluded with me/us(*) For the purchase of the following goods (*)/ the performance of the following service (*) — ordered on (*)/received on (*) — Name of the consumer(s) — Address of the consumer(s) — signature of the consumer(s) (only for paper notifications) — Date (*) mark through the inapplicable option (3) The right of withdrawal is voided before term if Scalefree International GmbH has completed the service entirely and only began to execute the service after the consumer had given his/their expressed consent and at the same time confirm that he/they/were aware that the right of withdrawal is voided once the contract has been completely fulfilled by Scalefree International GmbH. § 7 CANCELLATION If the customer is not a consumer or if the withdrawal notice period according to § 5 is expired, the following provisions apply: (1) The customer who cancels their registration 21 or more business days prior to the start of the scheduled training course and has not accessed the Day 1 introductory videos on DVA will be offered rescheduling to a later training or a full refund of the course fee less processing fees. (2) Customers who cancel their registration more than 14 but less than 21 days prior to the start of the course and have not accessed the Day 1 introductory videos on DVA will be offered a 50% refund of the course fee, less processing fees. (3) No refunds will be available for customers who (a) cancel their registration within 14 days prior to the start of the course, or (b) have already accessed the Day 1 introductory videos on the DVA, or (c) have the course materials for which Scalefree has a delivery receipt sent to them, or (d) do not attend the course. (4) The customer can name a different participant for the training course through the first day of the training course. To do this, it is necessary to send a communication to this effect via e-mail to [email protected], fax to +49 (511) 879 89349 or telephone +49 (511) 879 89341. (5) The customer is permitted to demonstrate that the cancellation caused lesser or no loss.
(6) Scalefree International GmbH is entitled to cancel (withdraw from) training courses for a justified reason (e.g. no-fault absence of the trainer/presenter especially in cases of illness or too few registered participants, i.e. fewer than 8 participants for public training courses, force majeure) or to re-locate them and/or name a different date as a substitute. Scalefree International GmbH will notify the customer of any cancellation changes immediately. In the event that it is cancelled, any training fees already paid will be immediately reimbursed in accord with applicable provisions of law under § 346 BGB. The contractual payment obligation is void. § 9 (Liability) applies to any claims to compensation for damages from the customer/participant. (7) In the event that the number of participants in an in-house training course exceeds the number of registered participants, the trainer in each case has the right to exercise the provisions under § 3 Para. 2 of these GTCs; and if the interruption or delay makes it likely impossible to complete the training course in the time provided for it, Scalefree International GmbH and the trainer are entitled to halt the execution of the training course and terminate the contractual relationship without notice. The customer has no claim to a make-up course at a later date. In the event of such a termination, Scalefree International GmbH is entitled to demand a reasonable compensation for the preparation for the training course and any portions of training already completed. (8) The right to extraordinary cancellation for due and sufficient cause remains in effect. § 8 INTELLECTUAL PROPERTY Absent the written consent of Scalefree International GmbH, no parts of documents or other media that are received by the customer or participant in the framework of participation in the training course may be reproduced, edited, disseminated, distributed or used for public presentation. To the extent that documents or other media are used to which third parties have rights, these rights are held by the respective originator or rights holder. The customer and/or the participant receives the non-exclusive and non-transferrable right to use the documents as provided for in the framework of the training course and to that purpose only. Deviations from these terms of use require an expressed written agreement. § 9 COMPENSATION AND TERMS OF PAYMENT All prices are net prices plus the legally mandated German VAT. The training fee is due and payable in advance on receipt of the billing statement, immediately and without discounts, in Euro, to the extent that no other agreement is made. Billing for in-house training courses is completed based on the number of registered participants and/or the agreement. If the number of actual participants falls below the number of registered participants, this does not result in any reduction or reimbursement of the training fees. If the number of actual participants exceeds the number of registered participants, § 3 (2) and § 6 (4) of these GTCs apply, to the extent that no agreement can be reached on an increase in the training fee. § 10 LIABILITY (1) In the event that a training course is either cancelled or called off for reasons for which Scalefree International GmbH cannot be responsible, especially due to a trainer becoming ill, there is no claim to carrying out the training course. Scalefree International GmbH is liable in this case only to immediately inform the customer and participants using one of the means of communication mentioned. (2) Claims by the customer to compensation for damages are excluded. This excludes claims to compensation for damages brought by the customer for injury to life, limb or health or breach of essential contractual obligations (cardinal obligations) as well as liability for damages arising from intentional or grossly negligent breach of contract by Scalefree International GmbH, its legal representatives or temporary employees. Essential contractual obligations are those whose fulfilment is absolutely necessary to attain the objective of the contract, whose fulfilment is a fundamental precondition to the proper completion of the contract and on whose fulfilment the contract partner may regularly rely. (3) On breach of essential contractual obligations, Scalefree International GmbH is liable only for the types of damages typical to contracts of this kind and foreseeable at the time the contract was concluded, if they are the result of simple negligence, unless the customer’s claim to compensation for damages derives from injury to life, limb or health. (4) The limitations of Paragraphs 1, 2 and 3 apply in favor of the legal representatives and temporary employees of Scalefree International GmbH, if claims are asserted against them directly. (5) The provisions of the Product Liability Act remain in effect. The objection of joint culpability is reserved. § 11 SEVERABILITY CLAUSE, REQUIREMENT OF WRITTEN FORM (1) In the event that individual provisions of the training contract including these General Terms and Conditions prove or become partly or wholly unenforceable or unfeasible, or in the event that the training contract contains unintended loopholes, this will not compromise the enforceability of the remaining provisions. The parties commit to agree on an enforceable and feasible provision in place of the unenforceable, unfeasible or missing provision that will most closely approximate the unenforceable, unfeasible or missing provision with all due consideration for the commercial purpose of the contract. The parties are obligated to confirm such a provision in the required form, at least in writing. (2) Changes and amendments to this contract must be made in writing; this applies to any change to the requirement of written form as well. § 12 APPLICABLE LAW (1) For all legal relationships between the parties, including these terms and conditions, the law of the Federal Republic of Germany applies excluding the laws concerning the international purchase of moveable goods. This choice of laws applies for consumer contracts, to the extent that the provisions of the ROM-I-Ordinance do not contradict it. The German version of these terms and conditions is the legally binding version. Any translations into other languages are not legally binding. (2) If the customer is a merchant, legal person under public law or special estate under public law, the sole court of jurisdiction for all legal disputes arising from this contract is Hannover. The same applies if the customer does not have a general court of jurisdiction in Germany or if residence or habitual domicile are not known at the time the complaint is brought. The registration of the data subject, with the voluntary indication of personal data, is intended to enable the controller to offer the data subject contents or services that may only be offered to registered users due to the nature of the matter in question. Registered persons are free to change the personal data specified during the registration at any time, or to have them completely deleted from the data stock of the controller.
The data controller shall, at any time, provide information upon request to each data subject as to what personal data are stored about the data subject. In addition, the data controller shall correct or erase personal data at the request or indication of the data subject, insofar as there are no statutory storage obligations. The entirety of the controller’s employees are available to the data subject in this respect as contact persons.
SUBSCRIPTION TO OUR NEWSLETTERS
On the website of the Scalefree International GmbH, users are given the opportunity to subscribe to our enterprise’s newsletter. The input mask used for this purpose determines what personal data are transmitted, as well as when the newsletter is ordered from the controller.
The Scalefree International GmbH informs its customers and business partners regularly by means of a newsletter about enterprise offers. The enterprise’s newsletter may only be received by the data subject if (1) the data subject has a valid e-mail address and (2) the data subject registers for the newsletter shipping. A confirmation e-mail will be sent to the e-mail address registered by a data subject for the first time for newsletter shipping, for legal reasons, in the double opt-in procedure. In addition, subscribers to the newsletter may be informed by e-mail, as long as this is necessary for the operation of the newsletter service or a registration in question, as this could be the case in the event of modifications to the newsletter offer, or in the event of a change in technical circumstances. RIGHT TO RECTIFICATION

RIGHT TO ERASURE (RIGHT TO BE FORGOTTEN)
Each data subject shall have the right granted by the European legislator to obtain from the controller the erasure of personal data concerning him or her without undue delay, and the controller shall have the obligation to erase personal data without undue delay where one of the following grounds applies, as long as the processing is not necessary:
- The personal data are no longer necessary in relation to the purposes for which they were collected or otherwise processed.
- The data subject withdraws consent to which the processing is based according to point (a) of Article 6(1) of the GDPR, or point (a) of Article 9(2) of the GDPR, and where there is no other legal ground for the processing.
- The data subject objects to the processing pursuant to Article 21(1) of the GDPR and there are no overriding legitimate grounds for the processing, or the data subject objects to the processing pursuant to Article 21(2) of the GDPR.
- The personal data have been unlawfully processed.

RIGHT OF RESTRICTION OF PROCESSING
Each data subject shall have the right granted by the European legislator to obtain from the controller restriction of processing where one of the following applies:

- The processing is unlawful and the data subject opposes the erasure of the personal data and requests instead the restriction of their use instead.
- The controller no longer needs the personal data for the purposes of the processing, but they are required by the data subject for the establishment, exercise or defence of legal claims.
- The data subject has objected to processing pursuant to Article 21(1) of the GDPR pending the verification whether the legitimate grounds of the controller override those of the data subject.
If one of the aforementioned conditions is met, and a data subject wishes to request the restriction of the processing of personal data stored by the Scalefree International GmbH, he or she may at any time contact any employee of the controller. The employee of the Scalefree International GmbH will arrange the restriction of the processing.

RIGHT TO DATA PORTABILITY
Each data subject shall have the right granted by the European legislator, to receive the personal data concerning him or her, which was provided to a controller, in a structured, commonly used and machine-readable format. Furthermore, in exercising his or her right to data portability pursuant to Article 20(1) of the GDPR, the data subject shall have the right to have personal data transmitted directly from one controller to another, where technically feasible and when doing so does not adversely affect the rights and freedoms of others.

RIGHT TO OBJECT
Each data subject shall have the right granted by the European legislator to object, on grounds relating to his or her particular situation, at any time, to processing of personal data concerning him or her, which is based on point (e) or (f) of Article 6(1) of the GDPR. This also applies to profiling based on these provisions.
The Scalefree International GmbH shall no longer process the personal data in the event of the objection, unless we can demonstrate compelling legitimate grounds for the processing which override the interests, rights and freedoms of the data subject, or for the establishment, exercise or defence of legal claims.
If the Scalefree International GmbH processes personal data for direct marketing purposes, the data subject shall have the right to object at any time to processing of personal data concerning him or her for such marketing.
